i. Definitions

For the purpose of these terms and conditions these expressions will have the following meanings:

 

  1. The user refers to any person, company or organisation who is the administrator of a Bright Cloud Resources Limited account. 
  2. A content provider or producer refers to a user who supplies the selling platform with products to be distributed or linked to.
  3. The selling platform refers to the Bright Cloud Resources Limited website.
  4. The sellers fee refers to the £0.15 which Bright Cloud Resources Limited retains from each credit.
  5. The product refers to any resource that is available or intended to be made available on the selling platform.
  6. The product page refers to the page occupied on the selling platform dedicated to a product.

 

 

 

 

ii. Bright Cloud Resources Limited

 

  1. Bright Cloud Resources Limited strive to provide a maintained and safe website for the users to search and acquire teaching resources. This site will also enable users to supply teaching resources for other users to acquire. The emphasis of Bright Cloud Resources Limited is to encourage distributing the best quality and most effective resources available. 
  2. This will be done by regularly monitoring the site and it’s content. However it will also be the responsibility of the users to report any issues they encounter. This will include:

  1. All products produced by Bright Cloud Resources Limited are the property of Bright Cloud Resources Limited.
  2. All products are titled to their content provider. Bright Cloud Resources Limited products are created by Bright Cloud Resources Limited or have consent from the initial creator to use their content in Bright Cloud Resources Limited products.
  3. As a teaching resource hub Bright Cloud Resources Limited is open to anyone wishing to create high quality products and requests that anyone wishing to manipulate a Bright Cloud Resources Limited product to create further high quality products simply contacts Bright Cloud Resources Limited for information.
  4. If it is found that anyone misuses Bright Cloud Resources Limited products or claims that they are their own and attempt to profit in any way, through means of gaining money or gaining status/increasing reputation as a result of those products, Bright Cloud Resources Limited will expect to be fully compensated for these actions. If this in not done Bright Cloud Resources Limited has valid grounds to take legal action against any such parties.

 

 

 

 

User Account

 

iv. Becoming a Bright Cloud Resources Limited User

  1. Accounts require the users name, email address and a password for their account. 

 

v. Acquiring and Using Resources

  1. Registered users can search and preview all resources. Users also have permission to download unlimited quantities of any downloadable resources priced as free on the selling platform.
  2. Accounts can use credit purchased on the selling platform to acquire resources at their stated price.
  3. Thereafter purchasing any product which requires credit will deduct the stated value of credits for that product from their credit balance.
  4. If a user tries to purchase a product which is valued greater than their credit balance, they will be required to purchase more credits from the selling platform if they still wish to acquire that product.
  5. By acquiring a resource, users add that particular resource, whether free or purchased, to their user account.
  6. From the user account, users will be able to open, download or print the resource depending on the permissions given by the producer of that specific product, and the format of that product.
  7. All products are the ownership of the content provider who supplied them. Users who acquire any product accept that they and it are bound to the producers terms of use and copyright.
  8. If you suspect any product is breaching copyright or trademark then it is the users responsibility to contact Bright Cloud Resources Limited or the content provider. Bright Cloud Resources Limited will support any genuine claims of breaching these terms by referring the accusing party to law firms specialising in copyright and intellectual property law.

 

vi. Providing Feedback

  1. Users will be given the opportunity to rate products they have acquired.
  2. You can do so simply by clicking the star rating you wish to submit on each resources page.
  3. We encourage honest feedback as this will help in developing future products and will indicate to content providers how to create better and more effective products.

 

 

 

 

Content Provider

 

vii. Providing Products

  1. To provide products on the selling platform you must be a registered user.
  2. From any user account you can upload any free teaching resource to the selling platform. However all products are subject to verification by Bright Cloud Resources Limited and only if the product is a legitimate teaching resource, and the user has uploaded a complete product, will the product be accepted and activated on the selling platform.
  3. If a content provider if found to be using the capacity to upload products to the selling platform for any purpose other than enabling users to acquire appropriate teaching resources, their account will be revoked with immediate effect. Such action would not require notice. This includes losing any credit associated to that account without refund and not receiving any unpaid money that has been earned by that user through purchases of their products.

 

viii. Selling Products

  1. If the content provider wishes to sell a product, meaning the purchasing user will acquire the product by spending their credit, the content provider must also include the following details to their account;

  1. If a content provider wishes to supply a product at the cost of Bright Cloud Resources Limited credit, that product must either be not encrypted at all or encrypted fully meaning once purchased it is only accessible from the account of which the product was bought. Any encryption must be clearly stated on the product page to ensure users are aware of what they are purchasing.
  2. Paid product may consist of purchasing access to download, print or open the product from their account.
  3. All products must clearly state their contents and limitations as to not mislead other users into what they are purchasing. Doing so could require the content provider to compensate that user to the full price of that product. In extreme cases this could also lead to the deletion of that account without receiving unpaid profits.

 

 

 

 

x. Receiving Payment for Products

  1. The price of a product is decided by the content provider. This is done by simply choosing the number of credits they value their product at. For each credit the content provider will profit £0.33. The remaining value of each credit covers the current charge from the payment service content provider and the Bright Cloud Resources Limited’s sellers fee.
  2. Bright Cloud Resources Limited receive all money paid by the User for the credits prior to using them to acquire any product. The seller will receive their earnings for the cumulative sum of all their products profits in the calendar month following their acquisition. At the start of that following month Bright Cloud Resources Limited will distribute the earned money in a single transaction
  3. The content provider will receive an email record of all transactions made by Bright Cloud Resources Limited for the period of each calendar month. The email will detail the number of the transactions and at what credit rate, resulting in the final sum of those transactions for each month. 
  4. Upon becoming a new content provider for paid resources, Bright Cloud Resources Limited will require the selling of products for one full calendar month before any earning will be transferred. E.g. Selling your first product on the 4th April, the content provider would receive their first payment in early June of that year.
  5. If a content provider misuses the selling platform for any reason meaning they are not using the facility to acquire or distribute appropriate resources for primary school teaching, Bright Cloud Resources Limited has the right to close the users account and any unpaid profit made by that account will remain unpaid.

 

xi. Free Promotional Credits

  1. As the administrator of the selling platform, Bright Cloud Resources Limited has the right to offer volumes of free promotional credits whenever and to whom it wishes.
  2. All promotional free credits will be given with the intent to increase publicity and to promote the selling platform and consequently the products on it.
  3. If a content provider’s product is purchased using free promotional credits, the content provider will not receive payment for that transaction and there will be no sellers fee.

 

 

 

 

xii. Content Provider Copyright

 

  1. If a content provider wishes their product to be subject to copyright it is their responsibility to ensure each of their products clearly states this.
  2. Everything a content provider supplies must be their own work or they must have the rights to use the content of their product. 
  3. The content provider must have full consent of the copyright holder if they are attempting to sell a resource containing previously copyrighted content, or work that is not their own. 
  4. Bright Cloud Resources Limited may ask to see permission for the product to be accepted onto the selling platform.
  5. All content providers must acknowledge that Bright Cloud Resources Limited is a selling agent providing a selling platform for resources, it has no responsibility for enforcing or preventing copyright on any products sold through the selling platform. Bright Cloud Resources Limited will comply with any reasonable requests for dealing with any suspected copyright complaints. This will be done by guiding the accusing party to law firms who specialise in copyright and intellectual property law.

 

 

 

xiii. Advertising with Bright Cloud Resources Limited

 

  1. As an educational resource supplier Bright Cloud Resources Limited will encourage advertisement to be of a nature that appeals to people in education.
  2. In order to advertise through Bright Cloud Resources Limited all advertising must be paid up front at an agreed rate.
  3. The advert must be appropriate for users to access the advert in primary schools. Any adverts that are offensive or explicit will be immediately refused.
  4. The minimum term for each advertisement on the selling platform is three months and that must all be paid before the advert will commence.
  5. Advertising through newsletters, on products or through social media is constantly changing and so details are available upon request.
  6. Advertisers on the selling platform are permitted to submit a different advert for each month over the term of their advertising lease. Any wish to change the advert more than this will be charged at a rate given by Bright Cloud Resources Limited and must also be paid prior to the changes being made.
  7. Any misuse of advertising or changes to the target link from an advert to anything other that the initial linked page will result in removing the advert permanently with no refund for any payments.
